Terms and Conditions for BrandAds Limited

Welcome to BrandAds Limited! These Terms and Conditions (“Terms”) govern your access to and use of the www.brandadsltd.com website (the “Website”), including any content, functionality, and services offered on or through the Website.

By accessing, Browse, or using our Website and/or placing an order for products or services, you agree to be bound by these Terms and our Privacy Policy, Refund and Returns Policy, and Shipping Policy, all of which are incorporated herein by reference. 2. Services Offered

BrandAds Limited provides a wide range of printing, branding, and design services, including but not limited to: Custom Business Card Printing, Logo Design, Offset Printing, Branded Merchandise, Vehicle Wrap Branding, Custom Art Illustration, Commercial Printing, Floor Decal Printing, Canvas Printing, Expo Booth Branding, Letterhead Printing, Corporate Seal Stamps, Large Poster Printing, Pop-Up Banners, Corporate Giveaway Pens, Uganda Flag Printing, Corporate Stationery, Event Table Tents, Branded Journals, Branded Travel Mugs, and Branded Document Folders.

3. User Accounts

3.1. To access certain features or place orders, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. 3.2. You are responsible for safeguarding your account password and for any activities or actions under your password. BrandAds Limited cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account and password. 3.3. You agree to notify us immediately of any unauthorized use of your account.

4. Ordering and Payment

4.1. Placing Orders: Orders can be placed directly through our Website by adding desired Products/Services to your cart and proceeding to checkout. 4.2. Pricing: All prices for Products and Services are displayed in Ugandan Shillings (UGX) unless otherwise specified. Prices are subject to change without prior notice. 4.3. Quotations: For custom orders or services not explicitly priced on the Website, you may request a quotation. Quotations are valid for a specified period and are subject to change based on design complexities, material costs, or other variables. 4.4. Payment: Full payment or a mutually agreed-upon deposit is required before production commences. We accept various payment methods as indicated on our Website (e.g., Mobile Money, Bank Transfer, Card Payments). All payments must be cleared before dispatch or commencement of work. 4.5. Order Confirmation: Upon successful payment, you will receive an order confirmation email. This email serves as an acknowledgment of your order, not an acceptance of your offer to purchase. A contract is formed only when we dispatch the Products or commence the Services.

5. Design and Content Submission

5.1. Accuracy of Submitted Content: You are solely responsible for the accuracy, legality, copyright, and quality of all content, designs, images, text, and other materials (collectively, “Submitted Content”) that you upload or provide to BrandAds Limited for printing or design services. This includes ensuring correct spellings, grammar, layouts, and image resolutions. 5.2. Intellectual Property Rights (Your Content): You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize BrandAds Limited to use all Submitted Content as necessary to provide the Services. BrandAds Limited shall not be liable for any infringement of copyright or other intellectual property rights arising from the Submitted Content. 5.3. Prohibited Content: You agree not to submit any content that is unlawful, defamatory, obscene, pornographic, indecent, lewd, hateful, discriminatory, or otherwise objectionable, or that encourages criminal conduct. 5.4. Proofing and Approval: For design and printing services, BrandAds Limited will provide digital proofs for your review and approval. It is your sole responsibility to carefully review these proofs for any errors (including but not limited to spelling, grammar, punctuation, font, layout, color, and image quality) before approving them. 5.5. Final Approval: Once you approve a proof, you accept full responsibility for any errors present in the final printed product that were also present in the approved proof. BrandAds Limited will not be liable for any such errors and will not issue refunds or free reprints for products with errors present in an approved proof.

6. Production and Delivery

6.1. Turnaround Times: Estimated turnaround times for production are provided on the Website or in quotations. These are estimates only and are not guaranteed, especially for custom orders or during peak seasons. 6.2. Delivery: Delivery of Products will be made to the address specified in your order. Delivery times are estimates and may vary due to factors beyond our control (e.g., traffic, weather, third-party logistics). 6.3. Risk of Loss: The risk of loss for purchased Products passes to you upon our delivery to the carrier. 6.4. Inspection upon Receipt: You are responsible for inspecting all Products upon receipt. Any claims for shortages, defects, or damages must be reported to BrandAds Limited within [e.g., 48 hours] of delivery.

7. Refunds and Returns

7.1. Our Refund and Returns Policy, available on the Website, governs all refunds, returns, and exchanges. By placing an order, you agree to the terms of this policy.

8. Intellectual Property (BrandAds Content)

8.1. All content on the Website, including text, graphics, logos, images, audio clips, digital downloads, and data compilations, is the property of BrandAds Limited or its content suppliers and protected by Ugandan and international copyright laws. 8.2. 9. Disclaimer of Warranties

9.1. The Website and all Services and Products provided through it are provided on an “as is” and “as available” basis. To the fullest extent permissible by applicable Ugandan law, BrandAds Limited disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

10. Limitation of Liability

10.1. To the fullest extent permitted by applicable Ugandan law, BrandAds Limited shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses) arising out of or in connection with your use of the Website, Services, or Products, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if BrandAds Limited has been advised of the possibility of such damages. 10.2. In no event shall BrandAds Limited’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the Website or for the specific Products/Services giving rise to the claim.

11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless BrandAds Limited, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Website, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website, Products, or Services shall be brought exclusively in the courts located in Kampala, Uganda.
